Use of the Website is subject to the following terms and conditions, as amended from time to time (the "Terms"), which govern the use of and interaction with the Website and the services offered on the Website (the "Service" or "Services") by all users. These Terms are to be read together with our Privacy Policy and any supplemental terms, conditions or disclaimers provided in the pages of the Website.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE AND/OR ANY SERVICE. YOU ACKNOWLEDGE YOUR ACCEPTANCE OF THESE TERMS BY VISITING OR USING THE WEBSITE AND THE SERVICES. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE WEBSITE OR ANY OF ITS SERVICES.

Terms of Use

1. Age of Majority

The Website is intended for your use only if you are of legal age to purchase cannabis in the jurisdiction in which you reside. If you do not fall within this category, you may be in breach of laws or regulations applicable in your province or country of residence or access, and you should leave the Website immediately.

You may restrict access to this Website using content filtering software or by changing your computer settings (e.g. browser or operating system), as appropriate.

2. Updates

Spark Rewards reserves the right to modify these Terms at any time, at its sole discretion. If Spark Rewards decides to change these Terms, Spark Rewards will post those changes here. We will also update the "Last Updated Date" at the top of these Terms. We encourage you to visit this section of the Website regularly in order to remain informed of any changes We are not liable to you or any third party in any respect arising from any changes or interruptions to the Website or Services.

If you do not agree to any changes that have been made, you must immediately stop using the Website and all Services.

3. Conditions of Use

Our Website and any of our Services are offered solely for your own personal, informational, or non-commercial use. By accessing the Website or any Service, you agree to only use the Website and Services for legitimate purposes in compliance with these Terms and all applicable laws and regulations.

You represent and warrant that all information provided to us in relation to our Services is true and accurate. You acknowledge and agree that content posted by you will be publicly attributable to you. You further acknowledge and agree that once you post content, it may not be possible to delete the content.

The Website may contain interactive services, including but not limited to discussion groups, news groups, bulletin boards, chat rooms, blogs and other social networking features, such as the display of linked content, which may allow you to post, transmit or submit information, including but not limited to writings, images, illustrations, audio recordings, and video recordings. We may or may not actively monitor postings on public forums. Similarly, we may or may not exercise editorial control over postings on any public forum.

We may assign these Terms to anyone for any reason in our sole discretion without notice. You may not assign these Terms without our prior written consent.

4. Prohibited Use

In addition to the requirements set forth in other sections of these Terms, you agree not to access and/or use the Website or Services for any purpose not expressly authorized by these Terms and/or transmit or upload to the Website or any Service content that in any form or respect:

  1. contravenes or violates any applicable laws or regulations, including, without limitation, criminal, intellectual property, privacy, competition, securities and other laws and regulations;
  2. constitutes an advertisement or solicitation of business of any kind, including but not limited to, spam, chain letters, and pyramid schemes;
  3. contains or constitutes software, computer programs, or routines of any kind, including but not limited to, viruses, bots, worms, spiders or offline readers;
  4. enables hacking or permits any automated device, program, tool (including but not limited to robot, bot, spider, deep-link, other data-mining or harvesting processes) or any manual process that in any way would facilitate access, or allow the acquisition, copying, or monitoring of any portion of the Website, including all data and networks, without the prior express written consent of Spark Rewards;
  5. collects information about others, including but not limited to, users' emails, passwords or other account information;
  6. copies or distributes any part of the Website or Services in any medium without Spark Rewards's prior written authorization;
  7. reverse engineers or decompiles the software comprising or included in the Website;
  8. attempts to gain access to unauthorized content, including content that has not yet been made available to the public;
  9. modifies, reverse-engineers, disassembles, decompiles or stores any content, data or any portion of the Website, for any reason, including for the purpose of competing with Spark Rewards and its affiliates, or distributing content for a commercial use;
  10. collects or harvests any personal information from the Website or a related Service, nor will you use communication systems provided by the Website and Service for any commercial solicitation purposes; and/or
  11. solicits, for commercial purposes, any users of the Website and Service.

Notwithstanding this section, Spark Rewards grants the operators of public search engines permission to use spiders to copy materials from the Website for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. We reserve the right to revoke these exceptions either generally or in specific cases.

5. Privacy

We encourage you to read our Privacy Policy. It explains how we collect, use and disclose and otherwise manage your personal information when you visit and use our Website and Services. If you provide us with any personal information, you authorize us to collect, use and disclose such information in accordance with our Privacy Policy.

Our Website may contain links to third-party websites or resources. You acknowledge and agree that Spark Rewards is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Third-party websites or resources can include, but are not limited to, advertisements, promotional offers or applications included in or made available on the Website. These third-party websites and resources are not owned or controlled by us. You understand and agree that Spark Rewards does not review, endorse, approve or control the content, products or services on or available from third-party websites or resources, and is not responsible or liable for the behavior, availability, features or content of any third-party website or resource or for any losses or damages arising out of your interaction with any third party. Your use of these third-party websites and resources is at your own risk and subject to separate terms of use.

Without limiting the foregoing, any link to a third party press release, media coverage, stock exchange website or analyst coverage should not be taken as an endorsement by us of the views, analysis or projections contained in such materials.

7. Copyright and Intellectual Property

All information, content and materials made available by Spark Rewards through the Website or Service, including, without limitation, any computer code, design, text, drawings, photographs, graphics, sound recordings and video recordings, as well as any copyrights, trademarks, service marks, logos, patents, trade names or other intellectual property or proprietary rights comprising the Website and Services, or any component or element of the Website and Service (collectively, the "Content") is the exclusive property of Spark Rewards and its/or its licensors and is protected by Canadian, U.S. and international copyright law.

Spark Rewards and its licensors retain all rights in the Content of this Website. The Content is provided to you AS IS, without any representation or warranty, whether express or implied, for your informational, personal, non-commercial use and may not be modified, copied, distributed, downloaded, displayed, emailed, transmitted, sold, licensed, performed or otherwise exploited in any form or by any means, for any purpose whatsoever, in whole or in part, without the prior written consent of the respective owner thereof.

You agree to not engage in the use, copying, distribution, transmission or modification of any of the Content for any commercial purpose. If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. You shall release, defend, indemnify, and hold Spark Rewards and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with: (i) your access to or use of the Website or Services; or (ii) your violation of these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada and of the laws of Canada applicable therein without regard to its choice of law or conflicts of law principles. You agree that any dispute is to be submitted to a court of competent jurisdiction in the City of Toronto, Province of Ontario, Canada.

12. Termination of Website and/or Service

Spark Rewards may discontinue at any time, without notice, the Website, Services, Content, materials, products and/or other services described on the Website or the availability thereof. Spark Rewards also reserves the right, in its sole discretion, to terminate these Terms and your access to all or part of the Website and/or Services with or without notice to you.

13. Entire Agreement; Severability

These Terms, the Privacy Policy, and any other terms or conditions expressly referred to therein, constitute the entire agreement between you and Spark Rewards regarding your use of the Website, Services and any other subject matter herein. If any portion of these Terms is declared or held unlawful, invalid, or unenforceable, then such portion of these Terms shall be deemed severed here from and shall not affect the validity or enforceability of the remainder of these Terms.

We may, from time to time, offer you the opportunity to participate in or use other special services, events, contests, and so forth, both on and off the Website. By participating in any such special service, you agree to any and all special terms set forth in connection with any such service, in addition to these Terms.

Spark Rewards Terms & Conditions

Program Overview

1. “Spark Rewards” (or any rebranded or replacement The FIKA Company rewards program rolled out from time to time, the “Program”) is a customer rewards program offered by The FIKA Company (and any and all of its affiliates)(“FIKA”, “we”, “our”) to in-store customers of the FIKA Company (the “Stores” or each individually a “Store”) and to online customers shopping on the spark.hifyreretail.com or via the Spark mobile application (together, the “FIKA Websites”, and individually each, “spark.hifyreretail.com” or “Spark Rewards”). Effective as of the date set out on spark.hifyreretail.com (the “Effective Date”), the following terms and conditions govern the Program and replace and take precedence over any previous terms and conditions.

2. Unless otherwise stated, “Notice” throughout these terms and conditions shall mean notice to Members (as defined below) in accordance with applicable laws and regulations. If FIKA updates these terms and conditions in any material respect, we will provide our Members prior written Notice by posting the new terms and conditions on the Spark Rewards website, except where required by law or where we believe direct notice would be beneficial for our Members. We encourage Members to review the terms and conditions relating to the Program each time they use one of the FIKA Websites, or Spark Rewards mobile application or redeem their Spark Rewards point (“Points”). FIKA may, in its sole discretion, terminate all or any part of the Program at any time with Notice.

Spark Rewards Program Membership

3. To participate in the Program, an individual must be a Member of the Program (each, a “Member”, collectively “Members”). If you are not currently a Member you may apply to become a Member of the Program in Store, on spark.hifyreretail.com, through https://shopspark.ca/learn-more, or through our Spark iOS or Android native mobile application. Once a membership account is opened in the Member’s name (any such account, whether opened prior to or after the Effective Date, a(n) “Spark Rewards Account” or “Account”), Membership is granted in FIKA ’s sole discretion and may be withdrawn or suspended in FIKA ’s sole discretion without liability to FIKA.

4. A valid and unique email address and/or phone number is required to open an Account online or through the Spark application. Members must advise FIKA of any change to the email address or phone number associated with their Account by updating such information on any of FIKA Websites or Spark mobile app. Alternatively, an account can be opened by visiting one of our Stores. If an account is opened while in store, implied consent to this agreement is given. A Member can update any of his/her information by logging in on spark.hifyreretail.com, or any of FIKA Websites, and going to their profile. Please note that updates are not affected immediately, and a member may not be able to redeem any Points until such time the update takes effect in FIKA ’s systems. No more than one person can use a single Spark Rewards Account. If a dispute arises regarding who owns the email address or phone number associated with an Account, and the dispute cannot be resolved by the applicable Members, FIKA may, at its sole discretion, require each Member involved in the dispute to provide an alternative email address and/or phone number, as applicable.

5. If FIKA determines that a Member has abused any of the Program’s privileges (including creating more than one Account), fails to comply with any of these terms and conditions, or makes any misrepresentation to FIKA (including making fraudulent purchases), FIKA may, in its sole discretion, take such actions as it deems appropriate, including, without limitation, suspending the Member’s privileges under the Program, revoking any or all Points in the Member’s Account, and/or revoking the Member’s membership in the Program without liability to FIKA.

6. FIKA is not liable or responsible in any manner for any tax consequences which may flow from a Member’s participation in the Program. Members will be solely responsible for their own tax payments and reporting requirements (including those related to any income tax benefit), if any.

Earning Spark Rewards Points

7. Points can be earned by Members in connection with visits and/or purchases made at a Store and other various other activities outlined in the Program, through the Spark Rewards mobile application or on spark.hifyreretail.com regardless of method of payment, provided that the Member provides their email address, phone number, or Account number associated with their Spark Rewards Account at such Store, or is logged in to their Account on the spark.hifyreretail.com, or through the Spark Rewards mobile app at the time of purchase. Spark Rewards Points Transferability

8. Points are not transferable or assignable. Loyalty points accumulated through the program are for the sole use of the registered account holder and may not be sold, transferred, gifted, assigned, or shared with others, including family members, friends, or other customers. Any attempt to transfer or assign points to another individual or account, whether through sale, barter, or other means, is strictly prohibited and may result in the forfeiture of points and termination of program membership.

9. The Spark Rewards Program is a tiered program and subject to change without prior written notice. Customers should continue to check spark.hifyreretail.com/learn-more/about for updated program information.

10. Level 1: Spark Rewards

Level 1 Spark Rewards is offered to each new customer that signs up for the program in any one of our Stores, or on the FIKA Websites, or through the Spark app, provided that the Member presents their email address, or phone number in connection with the purchase. This level introduces you to our brand's community and is about starting your journey with us and getting familiar with what we offer. 100 points will be earned just for signing up and Members will be awarded 15% off their first visit. Members will have access to points and benefits classified under Level1, which can be found on our Websites spark.hifyreretail.com/learn-more/about.

11. Level 2: Spark Rewards

Level 2 Spark Rewards will be awarded to your account after 5+ visits to one of our Stores, on our Websites, or through the Spark app, provided that the Member presents/enters their Account number, email address, or phone number in connection with the purchase. Level 2 offers all the Level 1 rewards plus additional offerings like a Member Anniversary Bonus and extra Bonus Points. Members will be provided with a “Level up Bonus Offer” on their first visit of 15% after 5+ visits and will have access to points and benefits classified under Level 2, which can be found on our Websites, spark.hifyreretail.com/learn-more/about.

12. Level 3: Spark Rewards

Level 3 Spark Rewards will be awarded to your account after 10+ visits to one of our Stores, on our Websites, or through the Spark app, provided that the Member presents/enters their Account number, email address, or phone number in connection with the purchase. This level is the top of our membership program, crafted for our most dedicated members. This level is our way of valuing your ongoing commitment and engagement, providing top-level rewards, benefits and exclusive access. Enjoy member pricing, early access to seasonal promotions, automatic entry into giveaways, and exclusive invitations to special events, all tailored to enhance your experience with us. Members will be provided with a “Level up Bonus Offer” of 20% on their first visit after leveling up, and after 10+ visits and will have access to points and benefits classified under Level 3, which can be found on our Websites, spark.hifyreretail.com/learn-more/about.

13. A Member cannot move from one Level to another during a transaction. Once a Member makes a purchase which promotes the Member to a higher tier, the Member will begin receiving the benefits of such higher tier following such purchase.

14. Spark Infinite

Spark Infinite is a limited pilot tier of the Spark Rewards program. Members were chosen at random to participate in this pilot. Selected members receive a 20% discount on eligible in-store, and online, purchases through May 31, 2026. Discounts cannot be combined, nor transferred, and are applied only when the Spark Infinite distinction is verified in the member’s account and only utilized by that member. Spark Rewards reserves the right to modify, extend, or cancel this pilot program at any time.

General

15. Occasionally, through specified promotions, additional Points or other benefits may be awarded to certain Members. Spark Rewards Partners (as outlined in section 27) may issue Points on a different basis and using different rates. 16. FIKA may change the basis on which Points are awarded (including number of Points awarded) at any time, with Notice, in FIKA ’s sole discretion, although such change will not affect the value of any Points already earned by Members at the time of such change.

17. In order to earn Points in connection with a visit made at a Store or on spark.hifyreretail.com the Member must, prior to the sale being completed, provide the email address, phone number, associated with their Account to the Budtender and/or employee at one of our Stores; or log in to their Account on spark.hifyreretail.com or purchase through the Spark mobile application.

18. Points are typically shown on the receipt issued in respect of a purchase on a best-effort basis. Points earned through online visits at spark.hifyreretail.com are usually posted within twenty- four (24) hours of the item being purchased. All Points totals, as shown on the applicable receipt or online through a Member’s profile when logged into spark.hifyreretail.com or logged into the Spark mobile application, will be deemed correct unless otherwise substantiated by the Member with evidence satisfactory to FIKA. At any point, a member can log in to their profile via spark.hifyreretail.com or Spark mobile application to check the balance of their points and/or inquire with staff within the retail store that participates in the Spark Program. Discrepancies must be addressed by visiting spark.hifyreretail.com and completing the “Contact Us” form for the applicable subject.

19. Unless clearly specified otherwise, Points cannot be redeemed in connection with the purchase of the following: (i) a Spark gift card, Spark Rewards gift card or e-gift card; (ii) the purchase of a Cannabis product; or (iii) products sold at certain other selected licensed departments. This list is subject to change at any time, in FIKA ’s sole discretion.

20. Points will not (unless expressly stated) be issued upon the purchase of FIKA gift cards but may be issued when these gift cards are used.

21. Except as specifically provided in these terms and conditions, Points have no cash value and are not exchangeable for cash. The approximate retail value of the Points will vary depending on the reward chosen at the time of redemption. Points are void if sold, purchased, assigned or transferred, except as specifically provided in these terms and conditions, or in connection with special programs, advertised and/or offered by FIKA in its sole discretion.

Inactivity and Inactive Accounts

22. After a period of six (6) months of inactivity, a Member of the Spark Rewards will be demoted down by one level. The profile will continue to lose status if inactive for an additional 6-month period, until the account has reached Level 1 status.

23. A Spark Rewards Account is deemed to be inactive if Points are not earned or redeemed in connection with such Account for twelve (12) consecutive months. Once an Account is deemed to be inactive, all Points in such Account will be forfeited. FIKA, at its sole discretion, may close the associated Account at this point, or any time thereafter.

Redeeming Spark Rewards Points

25. In the event of a printing, production or posting error in the Points value for any Spark Reward, FIKA will use its best efforts to rectify this error as soon as reasonably possible. In no event shall FIKA be under any obligation to honour a redemption request at an inaccurate value.

26. FIKA has established relationships with certain companies (each a “Spark Rewards Partner”), whereby Points can be earned and/or redeemed by Members in conjunction with separate partner programs established by these Spark Rewards Partners. Members must comply with all rules, regulations, terms and conditions associated with the Spark Rewards Partners’ programs. FIKA or the Spark Rewards Partners may restrict, suspend, otherwise alter or terminate Spark Rewards Partners’ programs in accordance with applicable laws. Points that are redeemed through a Spark Rewards Partner’s program are considered redeemed for all purposes. Spark Rewards Partners’ programs and offers are subject to these terms and conditions and any terms and conditions related to the specific Spark Rewards Partner’s program, as each may be amended from time to time. 27. FIKA ’s personal information practices in connection with the Program, including the collection, use and/or disclosure of your personal information, are governed by the FIKA privacy policy, which can be accessed at www.fikacannabis.com/privacy. Please review this privacy policy and print a copy for your records.

Acceptance of Terms & Conditions

28. Each Member or potential Member (i) certifies that he or she is over the age of majority in the province in which he or she resides, (ii) consents to FIKA ’s collection and use of certain personal information, except as he or she may otherwise notify FIKA, as set out in FIKA ’s privacy policy, and (iii) agrees to the terms and conditions of the FIKA Rewards Program, as they may be amended from time to time.

29. Collecting or redeeming Points at any time is deemed to constitute acceptance of the Spark Rewards terms and conditions in effect on the date of such collection or redemption, as applicable. For greater certainty, collection or redemption of any Points at any time after these terms and conditions are amended is deemed to constitute acceptance of such revised terms and conditions.

Miscellaneous

30. FIKA may, in its sole discretion, restrict, suspend, amend, extend or otherwise alter the terms and conditions relating to the Program (including earning and redemption rates) at any time with Notice to Members as contemplated in Section 2, above.

31. Except as specifically outlined herein, these terms and conditions represent the only agreement between the Member and FIKA in connection with the Program. There are no representations, warranties, covenants, conditions or other agreements, express or implied, collateral, statutory or otherwise, between a Member and FIKA in connection with the Program, except as specifically set forth in these terms and conditions. If any provision in these terms and conditions is determined to be illegal, invalid or unenforceable, that provision will be severed, and the remaining provisions shall remain in full force and effect.
